A presente tese tem por objetivo analisar a responsabilidade penal da sociedade empresária, de forma contextualizada com os diversos elementos externos ao Direito Penal que interpenetram na formação da política criminal e na construção do modelo dogmático de imputação. Para tanto, analisa-se o contexto histórico e econômico, bem como a evolução do papel da pessoa jurídica para compreender a demanda político-criminal pela atribuição de responsabilidade penal ao ente coletivo. Na sequência, estuda-se as dificuldades dogmáticas apresentadas para justificar o societas delinquere non potest e os modelos de responsabilização desenvolvidos, para, com esse instrumental, analisar a forma de imputação do ente coletivo nos ordenamentos jurídicos dos Estados Unidos, da Espanha e do Brasil. Por fim, mostra-se necessário compreender o substrato e os fundamentos da imputação, para então construir um modelo de responsabilidade penal da sociedade empresária possível, compatível com a Constituição brasileira, reconhecendo-se as limitações da intervenção penal.

The present thesis aims to analyze the criminal liability of the business society, in the context of the different external elements to Criminal Law that interpenetrate in the formation of criminal policy and in the construction of the dogmatic model of imputation. To do so, the historical and economic context is studied, as well as the evolution of the role of the legal entity, to be able to understand the political-criminal demand for the attribution of criminal responsibility to the collective entity. Subsequently, we study the dogmatic difficulties presented to justify the societas delinquere non potest and the liability models developed, in order, with this knowledge, to analyze the form of imputation of the collective entity in the legal systems of the United States, Spain and Brazil. Finally, it is necessary to understand the substrate and foundations of imputation, to build a possible model of criminal liability of the business society, compatible with the Brazilian Constitution, and recognizing the limitations of the criminal intervention.
