A presente tese examina a primeira edição do modelo internacional de contrato de construção New Red Book, lançado pela Fédération Internationale des Ingénieurs Conseils - FIDIC -, no ano de 1999. O estudo é dividido em duas partes distintas, mas interdependentes, cabendo à primeira apresentar o conceito de contrato de construção internacional, visando a verificar se e quando deverá este modelo contratual ser considerado um contrato internacional, assim como as consequências decorrentes dessa conclusão; já na segunda parte, discute-se o contrato de construção New Red Book quando utilizado sob o sistema legal brasileiro, independente de figurar como um contrato internacional ou doméstico. Para tanto, é aferida sua tipicidade, com a consequente afirmação de sua sujeição a um regime legal específico; na sequência, definidas as regras às quais estará o New Red Book sujeito quando utilizado sob o sistema legal brasileiro, abre-se capítulo próprio com a finalidade de apresentar as hipóteses nas quais se acredita deverá ser adaptado o modelo contratual a fim de evitar a nulidade de eventuais disposições contratuais, ou mesmo afastadas disposições legais de natureza supletiva que colidam com o contrato. Entre as hipóteses discutidas estão aquelas que se referem às timebars; ao direito de retenção; ao Conselho de Resolução de Conflitos - dispute board -; à suspensão das obras e resolução do contrato; e ao prazo de garantia, com a comparação entre as disposições legais e aquelas constantes no contrato. Antes de apresentar-se as conclusões, é aberto capítulo para breve menção ao recente lançamento da segunda edição do Red Book 2017, com a indicação das principais alterações realizadas pela FIDIC, bem como de seus motivos, ou ao menos dos princípios inspiradores da segunda edição. À título de conclusão, aborda-se a efetiva viabilidade e forma de utilização do modelo contratual FIDIC Red Book sob o sistema legal brasileiro, bem como as consequências de vir a ser considerado como um contrato de construção internacional.

This thesis examines the first edition of the New Red Book, an international model of contract of construction, launched by the International Federation of Consulting Engineers - FIDIC - in 1999. The present study is divided into two distinct but interdependent parts. The first of them will bring forward the concept of an international construction contract, with the purpose of verifying whether and when this contractual model should be considered an international contract, as well as the consequences resulting from that conclusion. The second part will discuss the New Red Book construction contract under the Brazilian legal system, regardless of whether it appears as an international or domestic contract. For this purpose, its legal specificity will be defined, with the consequent affirmation of its subjection to a specific legal regime. Once determined the rules to which the New Red Book will be subject when used under the Brazilian legal system, we will present the hypotheses in which it is believed that the contractual model should be adapted, in order to avoid the nullity of any contractual provisions, or even removed legal provisions of a subsidiary nature that conflict with the contract. Among the hypotheses discussed are those referring to timebars; to the right of retention; to the Dispute Board; to the suspension of the construction and termination of the contract; and the warranty period, comparing the legal provisions with those contained in the contract. Before presenting the conclusions, there is a chapter which briefly mentions the recent launch of the second edition of the Red Book 2017, indicating the main changes made by FIDIC, as well as its motives, or at least the inspiring principles of the second edition. As a conclusion, we will address the viability and use of the FIDIC Red Book contractual model under the Brazilian legal system, as well as the consequences of considering it as an international construction contract.
