Embora a sociedade civil organizada desenvolva suas atividades há séculos, sua relação formal com o poder público somente recebeu tratamento legal há poucas décadas e até os dias de hoje ainda não há estabilidade quanto ao regime jurídico desse relacionamento. Apenas em 2015 o Supremo Tribunal Federal julgou constitucional a Lei nº. 9.637/98, que disciplina a qualificação de organização social e o contrato de gestão no âmbito da União (ADI 1923). Não obstante a decisão vinculante do Supremo Tribunal Federal, a matéria ainda é controvertida no Poder Judiciário, nos Tribunais de Contas e no próprio Poder Executivo, que aplicam ao contrato de gestão diferentes interpretações. Tendo em vista esse estado de coisas, me dedicarei à análise dos contratos de gestão que têm como objeto os serviços de saúde no Estado e Município de São Paulo. O mapeamento dos problemas e as proposições podem se aplicar de forma geral aos variados objetos possíveis de serem executados por meio do contrato de gestão. Todavia, a pesquisa teve como foco os serviços de saúde, que impõem diversos desafios. A partir do material coletado foram mapeados diversos problemas, os quais, diante das dificuldades impostas pela pandemia, sobretudo para a pesquisa, do tempo para a conclusão e depósito desta tese e do limite de extensão deste trabalho, visto que a pretensão não é desenvolver um manual para contratos de gestão de saúde, foram reduzidos para aprofundamento nos seguintes temas, todos eles unidos pelo mesmo fio condutor: o controle. A escolha dos temas ocorreu mediante a seleção daqueles que pudessem reunir a maior parte dos problemas, de sorte que fosse enfrentada a maioria dos pontos mapeados, embora concentradamente os seguintes anunciados. São eles: controle a fiscalização; matriz de riscos e responsabilidade contratual; sanções; regras gerais de contratações; contratos em rede e rateio de despesas; proteção de dados pessoais.

Although organized civil society has been carrying out its activities for centuries, its formal relationship with the public power has only received legal treatment for a few decades and to this day there is still no stability regarding the legal regime of this relationship. Only in 2015 did the Supremo Tribunal Federal uphold Law 9.637/98, which regulates the qualification of social organization and the management contract within the scope of the Federal Government (ADI 1923). Despite the binding decision of the Supremo Tribunal Federal, the matter is still controversial in the Judiciary, in the Courts of Auditors and in the Executive Branch itself, which apply different interpretations to the management contract. In view of this situation, I will dedicate myself to the analysis of the management contracts that have as their object the health services in the State and the City of São Paulo. The mapping of problems and propositions can be applied in a general way to the various possible objects to be executed through the management contract. However, the research focused on health services, which pose several challenges. From the material collected, several problems were mapped, which, given the difficulties imposed by the pandemic, especially for research, the time for the conclusion and deposit of this thesis and the limit of extension of this work, since the intention is not to develop a manual for health management contracts, were reduced to deepen the following topics, all of them linked by the same common thread: control. The choice of themes occurred through the selection of those that could bring together most of the problems, so that most of the mapped points were addressed, although the following ones announced were concentrated. They are control the inspection; risk matrix and contractual responsibility; sanctions; general hiring rules; network contracts and apportionment of expenses; personal data protection.
