A tese tem por objeto a averiguação se as partes de um contrato de concessão de infraestrutura têm, por dever de atuação e comportamento, agir consensualmente para propiciar melhores condições de execução do contrato, em comparação à proposta originalmente apresentada quando do processo licitatório. A análise da legislação, doutrina e jurisprudência aplicáveis aos contratos de concessão de infraestrutura é conjugada à da prática, enfocada no setor de rodovias concedidas pelo Governo Federal e pelo Governo do Estado de São Paulo. A pesquisa examinou os termos aditivos celebrados entre as partes, a fim de aferir, no seu conteúdo, indicativos e provas hábeis à identificação do referido dever de negociação como ínsito e prioritário na fase de execução contratual. Foi detalhada a distinção entre as figuras consensuais de negociação (gênero) e renegociação (espécie), averiguadas ao longo dos termos aditivos analisados. A conclusão foi no sentido de que as partes se movimentaram para a celebração dos acordos não como força-motriz exclusiva, mas com base na existência de um dever contratual de colaboração e cooperação das partes, por vezes tornado explícito em algumas hipóteses de acionamento do processo negocial. Resulta que o poder de negociar melhores condições para a execução do contrato comparativamente à proposta inicial consiste num dever contratualizado, porém de exercício discricionário ou facultativo pelas partes, com possibilidade de sua estruturação à luz do permissivo autorizativo geral constante do artigo 26 da LINDB.

The object of the thesis is a scientific research on the parties' behavior of an infrastructure contract, if they have the duties to act and support each other mutually to reach a better way to comply with the submitted bid original conditions established when the bidding happened. Legislation, doctrine and court decisions were analyzed, as well contracts amendments signed by governments of State of São Paulo and Federal Government on the highway sector. The research has been carried out on a bunch of contractual amendments for the purpose to identify any duty to negotiate or renegotiate the original clauses. It was settled the distinction between negotiation and renegotiation events. The conclusion was the parties have made agreements and understandings not by their initial goals, yet on the contractual basis of collaboration and cooperation between the parties, specially shown when a party, or both parties, make requests on negotiated administrative processes. The negotiation power that emerge in an infrastructure contract to provide better conditions for contractual execution compared to the original ones has been understood as a contractual duty. But this duty has been put into practice by discretionary uses. This structure of a negotiation procedure might follow the model of the LINDB law, in its article 26.
