A presente dissertação tratará da rede de proteção jurídica do investidor em fundos de investimento no Brasil, chamando a atenção para a crescente dimensão do instituto, mediante a utilização de dados públicos da indústria, para na sequência delinear os principais tipos de fundos de investimento e também os principais agentes econômicos envolvidos em uma estrutura de fundo de investimento. Abordaremos, em uma análise crítica, os principais debates existentes relativamente a fundos, de acordo com a pesquisa acadêmica realizada e a experiência prática do autor, destacando-se: (i) a discussão acerca da natureza jurídica do instituto; (ii) a responsabilidade do administrador e gestor de fundos; e (iii) as correntes existentes quanto à aplicação (ou não) do CDC a fundos de investimento. Toda esta análise crítica terá como pano de fundo avaliar de que forma os investidores em fundos estariam melhor protegidos. No último capítulo, exploraremos o conceito de risco e sua importância no mercado de capitais, passando a analisar cada um dos principais problemas existentes em fundos, incluindo assimetrias informacionais, conflitos de interesses, custos de transação, manipulação do mercado, criação de condições artificiais, operações fraudulentas e práticas não equitativas, risco sistêmico, shadow banking, teoria da captura e uso indevido de informação privilegiada (insider trading). Por fim, traçaremos as principais estratégias para a mitigação dos problemas acima, dentre as quais destacamos a autorregulação, Chinese wall, compliance, estruturas de controles internos e gestão de riscos, disclosure, enforcement (privado, público, gatekeepers), governança corporativa, regulação prudencial e suitability. Sempre que possível, o autor buscará enriquecer a pesquisa com casos práticos a fim de ilustrar os conceitos abordados e as discussões, além da utilização da doutrina estrangeira cabível.

This study will deal with framework of legal investor protection in investment funds in Brazil, focusing on the increasing dimension of such institute, by means of the utilization of market public data, in order to evaluate afterwards the main types of investment funds and also the main economic agents involved in an investment fund structure. We will critically analyze the main existing debates in relation to funds, as per research made and practical knowledge of the author, as follows: (i) discussion on the legal nature of the institute; (ii) liabilities of fund's administrator and manager; (iii) the existing views on the application (or not) of the Consumer Protection Code for investment funds. All such critical analysis will aim at evaluating how the funds' investors would be better protected. In the last chapter, we will explore the concept of risk and its importance in the capital markets, by analyzing then each one of the main existing problems in funds, including information asymmetry, conflicts of interest, transaction costs, market manipulation, creation of artificial conditions, fraudulent transactions and non-equitable practices, systemic risk, shadow banking, capture theory and insider trading. At last, we will explore the main strategies to mitigate the above problems, including self-regulation, Chinese wall, compliance, structures of internal controls and risk management, disclosure, enforcement (private, public, gatekeepers), corporate governance, prudential regulation and suitability. Whenever possible, author will seek to enrich the study with cases to illustrate the concepts and discussions, further to using applicable foreign literature.
