O tema abordado na presente dissertação consiste na extraconcursalidade dos credores titulares de créditos garantidos por propriedade fiduciária na recuperação judicial à luz da solução coletiva para a empresa em crise. O desenvolvimento do tema foi realizado em três etapas distintas, refletidas em cada um dos três capítulos da dissertação. A primeira delas, consiste na construção da base teórica para a mais ampla participação dos credores nos regimes de reorganização empresarial. A segunda, a partir de levantamento jurisprudencial realizado, apresenta problemas decorrentes da aplicação prática do artigo 49, §3º, Lei nº 11.101/05, bem como instrumentos de interpretação da referida norma. A terceira etapa, por fim, dedica-se a apresentar uma proposta de alteração legislativa, bem como sugestões de encaminhamento para a referida proposta. São abordados na dissertação, assim, os seguintes pontos: (i) a participação dos credores como pilar dos regimes de reorganização das empresas em crise; (ii) os fundamentos que, ao menos em tese, justificariam a exclusão dos credores titulares da posição de proprietário fiduciário do regime de recuperação judicial; (iii) os limites da extraconsursalidade e o acesso do credor à garantia fiduciária; (iv) a extensão do stay period aos atos de excussão da garantia fiduciária; (v) as discussões a respeito da competência entre o juízo da recuperação judicial e os juízos individuais; (vi) a utilização do "princípio da preservação da empresa" como fundamento para relativização da regra contida no artigo 49, §3º, Lei nº 11.101/05 e, (vii) possíveis mecanismos de tutela de interesses dos credores garantidos por propriedade fiduciária no processo de recuperação judicial. O desenvolvimento do tema se deu por meio de revisão bibliográfica, pesquisa de jurisprudência e levantamento de literatura estrangeira.

The theme herein addressed consists of the non-submission of creditors entitled of claims secured by fiduciary liens to the judicial reorganization proceedings, governed by the Brazilian Bankruptcy Law - Federal Law No. 11.101/05 ("BBL"), in the light of to the collective action problem. The development of this theme was carried out in three distinct stages. The first one aims at building the theoretical basis for the widest participation of creditors in reorganization proceedings. The second, based on case law, presents the problems that arise from the practical application of Article 49, §3, Brazilian Bankruptcy Law, as well as instruments for interpreting said rule. Finally, the third chapter presents a proposal for a legislative amendment. The following points are, then, addressed by the thesis: (i) the participation of creditors as a pillar of the reorganization proceedings available to companies under financial distress; (ii) the grounds which, at least in theory, justify the nonsubmission of creditors holding fiduciary liens to the reorganization proceedings, governed by the BBL; (iii) the limits of the non-submission of such claims to the reorganization proceedings and the access, by the relevant creditor to the asset encumbered with the fiduciary liens; (iv) the extension of the stay rules to creditors holding fiduciary liens over the debtor's assets; (v) the debate regarding the conflicts of jurisdiction between the bankruptcy courts and the courts where the lawsuits filed by creditors holding fiduciary liens are ongoing; (vi) the use of the "maintenance of the business principle" as a basis for relativizing the rule contained in article 49, paragraph 3, BBL and (vii) mechanisms for protecting the interests of the creditors secured by fiduciary liens within the scope of the judicial reorganization proceedings, governed by BBL. The development of the theme occurred through bibliographical review, jurisprudence research and foreign literature survey.
