No Brasil, há uma expressiva exposição do patrimônio pessoal dos sócios aos débitos e demais obrigações da sociedade empresária. Tal exposição advém da proteção dos credores da sociedade empresária, particularmente os hipossuficientes e os que recebem tratamento especial pela legislação, em especial os credores estatais. De outro lado, há entre economistas e administradores de empresas inconformismo com o que parece ser uma banalização da aplicação judicial da teoria da desconsideração da personalidade jurídica, e o redirecionamento da execução fiscal (legitimação passiva), a possivelmente comprometer a segurança jurídica que deveria assegurar os investimentos empresariais. A problemática foi extensamente tratada na doutrina jurídica brasileira da perspectiva da desconsideração da personalidade jurídica e da do redirecionamento da execução fiscal. O objetivo deste trabalho é abordar a mesma problemática, mas da perspectiva da tutela do patrimônio pessoal do sócio, de modo a oferecer essa outra perspectiva para juristas, economistas e administradores de empresas.

Abstract in English
In Brazil, there is an expressive exposure of the partners' personal assets to debts and other obligations of the business company. Such exposure arises out from the protection of the creditors of the business company, particularly those who are economically underprivileged and those who receive special treatment under the law, especially state-owned credits. On the other hand, economists and business administrators are at odds with what seems to be trivializing the judicial application of the disregard of legal personality theory and the passive legitimation of tax enforcement of the partner, possibly compromising the legal certainty that should ensure corporate investments. The issue has been extensively addressed in Brazilian legal doctrine from the standpoints of the disregard of legal personality theory and the passive legitimation of tax enforcement of the partner, and the aim of this paper is to address it, but from the perspective of guardianship of the partner's personal assets, in order to offer such a perspective to jurists, economists and business administrators.
