A presente dissertação de mestrado teve como objeto o estudo de duas cláusulas contratuais voltadas à resolução de impasse na relação entre sócios: as chamadas cláusulas buy or sell e opções de compra e venda de participação societária. Trata-se de dois mecanismos de resolução definitiva da relação associativa entre as partes, para que o impasse na sociedade de resolva por meio da saída de um dos sócios da sociedade com a alienação da totalidade da sua participação societária ao outro sócio, que está vinculado a tais cláusulas. Nesse trabalho, analisa-se, na sua primeira parte, o tipo de relação associativa em que essas cláusulas contratuais podem ser utilizadas, apontando-se, a título exemplificativo, outros meios de resolução de impasse não contratuais ou contratuais que não ensejam a saída de um dos sócios da sociedade, a fim de ilustrar a análise do tema dos impasses societários. A partir disso, as cláusulas contratuais buy or sell e opções de compra e venda de participação societária são analisadas do ponto de vista obrigacional, a fim de indicar sua natureza jurídica e particularidades que as distinguem. Na segunda parte do trabalho são examinadas as balizas legais à contratação dessas cláusulas, indicando-se, sob a perspectiva do Direito Brasileiro, o que poderia ocasionar a invalidade ou ineficácia de tais negócios jurídicos. Por fim, são apresentadas as tutelas jurisdicionais aptas a resolver as crises jurídicas envolvendo tais negócios jurídicos

This master thesis has the purpose to analyze two contractual clauses, which aim to resolve deadlocks in relations between shareholders: buy or sell and put and call options. Both clauses resolve the relationship between the shareholders by the exit of one of the shareholders, which will assign its entire shareholding to the other shareholder that is bound by such clauses. This master thesis analyzes, in the first part, the type of relationship between the shareholders, in which shareholders use such clauses, moreover other contractual or non-contractual means to resolve deadlocks are indicated, in order to illustrate the analysis related to corporate deadlocks. Based on that, the buy or sell and put and call options are analyzed from an obligational perspective in order to define its legal nature and the differences between both clauses. In the second part of this master thesis, the legal limits to those clauses under Brazilian Law are examined, in order to define which could cause the invalidity or inefficacy of such contracts. Finally, this master thesis presents the judicial remedies for all the juridical crises involving such contracts
