A dissertação tem por objetivo analisar a regulamentação brasileira dos Exchange-Traded Funds (ETFs, também conhecidos como fundos de índice). Os principais aspectos de estudo são panorama atual dos ETFs no mercado americano, com a identificação da multiplicidade de tipos de ETFs ali existentes, os quais poderiam ser de interesse também do mercado brasileiro. A dissertação discorre, ainda, sobre o índice, o qual é utilizado por diversos instrumentos de investimento, incluindo o ETF, como referência. Analisa-se, ademais, as vantagens trazidas pela figura do ETF, em decorrência das suas particularidades. A partir dessa análise, a dissertação trata especificamente do ETF no mercado de valores mobiliários brasileiro, com um recorrido histórico do desenvolvimento do mercado de ETFs pátrio e análise da Instrução CVM nº 359/02 e suas alterações via concessão de dispensas e, em 2013, por meio da Instrução CVM nº 537/13. Por fim, a dissertação traz uma reflexão acerca da adequação do arcabouço regulatório criado pela CVM e o mecanismo de concessão de dispensas à instrução normativa aplicável aos ETFs.

The dissertation has the goal of analyzing the Brazilian legislation regarding the Exchange Trade Funds (ETFs, also known as index funds). The main aspects of the study are the current overview of the ETFs in the American market, with the identification of the multiple types of existent ETFs, which could be of the Brazilian market's interest. The dissertation also discuss about the index, which is used by many investment instruments, including the ETF, as a reference. The advantages brought by the ETF arising from its peculiarities area also object of analysis. Taking this as a start, the dissertation specifically addresses the ETF in the Brazilian securities market, its history, and analysis of CVM's Ruling No 359/02, as amended by the concession of waivers and, in 2013, by CVM Ruling No 537/13. Lastly, the dissertation raises a reflection about the adequacy of the rules created by CVM and the mechanism of concession of waivers to such rules, as applicable to ETFs.
