Este trabalho pretende analisar as trocas indiretas de informações entre concorrentes, especialmente aquelas que ocorrem por meio de parceiros comerciais como clientes, distribuidores e fornecedores, à luz da legislação brasileira de defesa da concorrência. O tema mostra-se relevante na medida em que há cada vez mais investigações envolvendo tais condutas no mundo e também no Brasil, sendo que ainda não há um discurso uníssono sobre o assunto. Além disso, a doutrina brasileira é praticamente inexistente. No primeiro capítulo, são destacados os elementos essenciais da análise das trocas de informações em geral, tais como o que configura uma informação concorrencialmente sensível, quais as possíveis classificações das trocas de informações e os parâmetros probatórios utilizados pelas autoridades de defesa da concorrência para configuração do ilícito. No segundo capítulo, são tratados os precedentes de jurisdições estrangeiras sobre o tema em estudo, de modo a contextualizar a discussão segundo o direito brasileiro. No terceiro e último capítulo, é proposta uma análise das trocas indiretas de informações entre concorrentes segundo a legislação brasileira de defesa da concorrência, diferenciando as trocas indiretas de informações que são consideradas um ilícito por si só daquelas que são utilizadas como um instrumento para cartéis atípicos conhecidos como hub-and-spoke. Finalmente, o trabalho trata de algumas recomendações para evitar a ocorrência dos ilícitos analisados, bem como um breve paralelo entre as trocas indiretas de informações e novas tecnologias. Ao final da dissertação, conclui-se que as trocas indiretas de informações não se confundem com os cartéis que são viabilizados por meio delas, devendo haver um padrão de prova específico para cada conduta a ser adotado pela autoridade.

This dissertation aims at analyzing the indirect exchanges of information among competitors, especially those that take place by commercial partners, such as customers, distributors and suppliers, in light of the Brazilian competition law. The subject is relevant as there is a growing number of investigations involving these conducts in the world, including in Brazil, while the global doctrine is not fully aligned. Also, the Brazilian doctrine is practically inexistent. In the first chapter, it is indicated the essential elements for the analysis of exchanges of information in general, such as what should be considered a sensitive information for competition purposes, which are the possible segmentations of exchanges of information and the proof requirements adopted by competition authorities in order to verify an infringement to the competition law. In the second chapter, it is indicated the cases from foreign jurisdictions regarding the subject under study, in order to provide the context for the discussion on the Brazilian law. In the third and last chapter, it is proposed an analysis of indirect information exchanges among competitors according to the Brazilian competition law, differentiating the indirect information exchanges that are an infringement by themselves from those that are used as an instrument for atypical cartels known as hub-and-spoke cartels. Finally, it is indicated some recommendations in order to avoid the occurrence of the infringements studied, as well as a brief parallel between indirect exchange of information and new technologies. By the end of the dissertation, it is concluded that indirect exchanges of information should not be mistaken with cartel that are based on them, so there must be a specific standard of proof for each practice to be analyzed by the authority.
