Esta dissertação tem por objetivo analisar as mais frequentes irregularidades que orbitam as operações de aumento de capital das sociedades anônimas. Para tanto, faz-se, no primeiro capítulo, uma breve nota do caráter fundamental do capital social e da importante função interna que desempenha na organização do poder societário. Após, com base em ampla pesquisa jurisprudencial abrangendo os mais representativos Tribunais do Brasil e a CVM, constrói-se o mapeamento das causas que mais frequentemente são alegadas para caracterizar a eventual irregularidade do aumento de capital. São elas: (1) diluição injustificada; (2) questionamentos sobre a efetiva necessidade do aumento de capital; (3) abuso do direito de voto; (4) irregularidades nos procedimentos de convocação e disponibilização da documentação de suporte e (5) ausência de justificativa e fundamentação pormenorizada dos critérios de fixação do preço de emissão. No segundo capítulo, analisase cada uma das referidas causas, confrontando-as com entendimentos doutrinários e interpretação da legislação aplicável. Finalmente, passa-se à verificação quantitativa e qualitativa dos precedentes emanados dos Tribunais e da CVM, seguida pela análise específica de dez casos práticos.

This dissertation aims to analyze the most common irregularities of legal capital increase operations in corporations. For such purpose, a brief comment is made in the first chapter regarding the key nature of the legal capital and the substantial role it plays in the organization of the corporate powers. Afterwards, the causes most frequently raised to characterize potential irregularities in the increase of legal capital are mapped according to a broad case law research comprising the most representative Brazilian Courts and the Brazilian Exchange Securities Commission (CVM). These are: (1) unjustified dilution; (2) inquiries concerning the actual need for the legal capital increase; (3) abuse of the right to vote; (4) irregularities in the summoning procedures and in the disclosure of ancillary documents; and (5) lack of justification and detailed explanation of the criteria used to determine the issuance price. In the second chapter, each of the foregoing causes are analyzed in accordance with the legal doctrine and interpretation of the applicable laws. Finally, there is the quantitative and qualitative assessment of the case law of the Court and CVM, followed by the specific analysis of ten cases.
