Para além de suas funções tipicamente concorrenciais com vistas à preservação do equilíbrio das estruturas de mercado, os remédios antitrustes em atos de concentração têm sido cada vez mais utilizados sob um viés promocional, orientados à viabilização de políticas públicas (tais como políticas de emprego e desenvolvimento local). Neste contexto, o presente trabalho tem por objetivo examinar a natureza destes remédios antitrutes sem nexo causal entre a operação econômica e o dano a concorrência, e que, portanto, desafiam a doutrina antitruste ortodoxa, que é majoritariamente econômica. Para tanto, a dissertação de mestrado analisará a jurisprudência do CADE sob os seguintes aspectos: (i) a autoridade antitruste enquanto tomador de decisão; (ii) a formação o remédio; (iii) a natureza dos remédios; (iv) a finalidade dos remédios; e (v) a forma dos remédios; com o auxílio de 5 tipos de classificações binárias, respectivamente: (i) remédios nacionais vs. remédios globais; (ii) remédios impostos vs. remédios negociados; (iii) remédios ortodoxos vs. remédios heterodoxos; (iv) remédios saneadores vs. remédios compensatórios; e (v) a tradicional dicotomia dos remédios antitrustes em estruturais vs. comportamentais. Por fim, pretende-se identificar possíveis justificativas doutrinárias e econômicas para aplicação dos remédios heterodoxos em atos de concentração.

In addition to its traditionally competitive functions aimed at preserving the balance of market structures, mergers remedies have been increasingly used under a promotional bias, directed to the implementation of public policies (such as employment policy and local economic development). In this context, the study herein aims to investigate the nature of these antitrust remedies without causal link between economic operation and damage to competition, and therefore, challenge the orthodox antitrust doctrine, which is mostly economic. To do so, the master dissertation will analyze the jurisprudence of CADE under the following aspects: (i) the antitrust authority as a decision maker; (ii) the formation of the remedies; (iii) the nature of the remedies; (iv) the purpose of the remedies; and (v) the form of the remedies; with the help of 5 types of binary classifications, respectively: (i) national remedies vs. global remedies; (ii) imposed remedies vs. negotiated remedies; (iii) orthodox remedies. heterodox remedies; (iv) ompensatory remedies vs. promotional remedies; and (v) the traditional dichotomy of antitrust remedies in structural versus. behavioral. Finally, this study intends to identify possible doctrinal and economic justifications for the application of heterodox remedies in the merger control.
