O tema de Fusões e Aquisições é sempre atual, pois o histórico no Brasil e no exterior comprova que tais operações societárias ocorrem independentemente da situação econômica, seja de estabilidade ou não. As normas brasileiras que regem a matéria, em especial a Lei das Sociedades Anônimas (BRASIL, 1976), algumas instruções normativas da Comissão de Valores Mobiliários e o Código Civil (BRASIL, 2002) apresentam, todavia, inúmeras deficiências, tornando o ambiente jurídico muitas vezes incerto. A presente tese tem por objetivo apontar as principais deficiências jurídicas e apresentar propostas de melhoria inspiradas parte no Direito americano e parte na análise críticaconstrutiva do próprio sistema brasileiro para conferir proteção aos diversos stakeholders e aumentar o incentivo a tais operações.

The subject of Mergers & Acquisitions is always contemporary since the track record in Brazil and abroad demonstrates that such transactions occur regardless of the economic situation, either of stability or not. Brazilian rules which govern this subject matter, specially the Corporate Law (BRAZIL, 1976), some instructions of the Brazilian Securities and Exchange Commission and the Civil Code (BRAZIL, 2002) have, nonetheless, innumerous deficiencies, frequently bringing uncertainty to the legal environment. The purpose of this thesis is to present the main legal deficiencies and bring enhancement proposals part inspired in the American Law and part in the critical-constructive analysis of the Brazilian system itself, in order to grant protection to the several stakeholders and increase the incentive for such transactions.
