A presente tese possui como tema central a análise da teoria da relação contratual de fato sob a visão do Direito de Empresa. Iniciando com a apresentação das bases da teoria da relação contratual de fato proposta por Günter Haupt, bem como do desenvolvimento da referida teoria por Karl Larenz, prossegue-se com a análise dos elementos estruturais do negócio jurídico e após do contrato comercial no Direito de Empresa Brasileiro, fazendo-se, ainda, uma análise do mesmo na Experiência Jurídica Romana, no Direito Inglês e no Direito Alemão. Posteriormente, segue uma análise da distinção entre contrato, relação contratual e instrumento contratual, para, então, analisar-se a natureza da responsabilidade civil pré- contatual em confronto com as relações contratuais de fato decorrentes do denominado contato social, a denominada sociedade de fato (atualmente denominada de sociedade em comum) como espécie de relação contratual de fato decorrente da inserção em uma relação comunitária, findando com o estudo do comportamento concludente como meio exteriorizador da vontade negocial na contratação da prestação de serviços públicos em confronto com a denominada relação contratual de fato decorrente da obrigação social de prestar imputada à Administração Pública.

This thesis has as central issue the analysis of contractual relationship of fact theory under the Business Law vision. Beginning with the presentation of the foundations of contractual relationship of fact theory proposed by Günter Haupt and its development by Karl Larenz, this study proceeds with the analysis of structural elements of legal transaction and afterwards of commercial contract in Brazilian Business Law and the analysis at Roman Law Experience, English Law and German Law. Subsequently follows the analysis of the difference between contract, contractual relationship and contractual instrument to then analysing the nature of pre-contractal civil liability before contractual relationship of fact derived from the nominated social contact, the known partnership at will (currently nominated as common company) as specie of contractual relationship of fact derived from the insertion in a community relationship, ending with the study of conclusive behavior as a mean of negotial will exteriorization in service public contracting also before contractual relationship of fact arising from the Public Administration social obligation of rendering.
