A legislação falimentar brasileira possui uma única hipótese que poderia ser classificada como extensão de efeitos da falência a terceiros: a falência automática dos sócios ilimitadamente responsáveis. A prática jurisprudencial, entretanto, evoluiu para admitir a extensão de efeitos da falência em outras hipóteses, com fundamento na desconsideração da personalidade jurídica. Este estudo discute a adequação dos critérios jurisprudenciais atualmente admitidos à luz dos pressupostos para a decretação da falência e da desconsideração da personalidade jurídica, fornecendo um modelo interpretativo para imputação de responsabilidade a terceiros em relação à sociedade empresária falida.

The Brazilian statutory law on bankruptcy provides a single hypothesis which imposes liability to third parties in liquidation proceedings: the automatic bankruptcy of partners with unlimited liability. However, Brazilian Courts developed new hypotheses relying on the veil-piercing doctrine in order to extend such proceedings in a broader sense (including substantive consolidation). This study presents a discussion about the present criteria used by the Courts, by comparing the requirements necessary to order bankruptcy and to pierce the veil of legal entities under Brazilian corporate law, providing an interpreting model for imposition of liability to parties related to firms undergoing liquidation.
