A sociedade de economia mista é sociedade anônima que integra a Administração Pública. Possui características tanto de empresa privada quanto de ente estatal. Apesar dessa (aparente) contradição, é justamente dessa forma que a companhia de capital misto deve ser compreendida: em sua dualidade de empresa estatal, sendo tanto "empresa" quanto "estatal". Nessa condição, ao mesmo tempo em que deve buscar realizar determinada finalidade pública, deve funcionar com a lógica da atividade empresarial, inclusive mediante a devida retribuição aos investidores. Assim, deve atender o interesse público que justificou sua criação e respeitar as características empresariais que lhe são inerentes, especialmente os direitos dos acionistas minoritários, que são essenciais ao empreendimento. O presente trabalho analisa inicialmente a escolha do Estado pela lógica empresarial para o desenvolvimento de determinada atividade e o contexto em que surgiram as sociedades de economia mista no Brasil. A partir disso e do exame da normativa constitucional e legal aplicável, estuda a estrutura interna de interesses públicos e privados dessas sociedades, o exercício do poder de controle pelo Estado, a possibilidade de imposição de limitações a esse poder e a necessidade da garantia dos direitos coletivos e essenciais dos acionistas minoritários privados.

The mixed-capital company is a corporation that is part of the Government. It has characteristics of private company and state entity. Although the (apparent) contradiction, such government controlled corporation shall be comprehended considering this duality. In this condition, at the same time it must pursuit a certain public goal, it must also function considering the business logic, which includes retribution of the investors. Therefore, it must perform the public interest that has justified its constitution and respect its inherent corporate characteristics, especially the rights of the minority shareholders, which are essential to the company. This paper initially analyses the State's choice to develop an activity through the business logic and the context in which the mixed companies have raised in Brazil. Then, and considering the exam of the applicable constitutional and legal rules, it studies the internal structure of public and private interests in these companies, the exercise of the control power by the State, the possibility of limiting such power and the need of guaranteeing the collective and essential rights of the private minority shareholders.
