A tese procura analisar o problema da aplicação dos mecanismos de ruptura dos contratos empresariais de prazo determinado e lhes propor uma nova semântica, à luz da observação da práxis e sob as premissas da teoria do design contratual. Trata-se de trabalho de teoria jurídica destinado a propor soluções dogmáticas. Ela analisa a ruptura contratual, consistente no progressivo esgarçamento da relação entre as partes, motivado por frustrações com a performance da operação ou pelo desejo de abandoná-la em prol de outros investimentos, que tende a resultar no seu encerramento antecipado. O Capítulo 1 delimita o objeto de análise e o Capítulo 2 descreve a ruptura como um processo planejado, que repercute no plano da eficácia, iniciado durante a redação contratual, quando se vislumbram diferentes cenários do porvir e se escolhem alternativas para permitir saídas eficientes e evitar posturas oportunistas em cenários de inadimplemento, desalinhamento ou mudanças de planos. O estudo constata que esse planejamento nem sempre é frutífero, sobretudo porque nossa cultura jurídica ainda desconhece suas feições e por incompatibilidades entre o raciocínio dos redatores contratuais e características próprias do Direito brasileiro. A tese propõe se adotar a teoria do design contratual para oferecer uma nova semântica à dogmática desses contratos, descrevendo-o como o conjunto de escolhas efetuadas para moldar os contratos de modo funcional, adotando-se estruturas que visam a atender aos objetivos e necessidades das partes, pressupondo antever cenários de disputas e traçar alternativas de modo estratégico, para que os investimentos em custos de transação sejam eficientes e evitem o oportunismo. O trabalho demonstra que isso se faz mediante dois raciocínios: alternando-se entre mecanismos de enforcement jurídico ou relacional para enfrentar contingências, e alternando-se entre investimentos em custos de transação ex ante ou ex post no grau de detalhamento dos parâmetros contratuais, com a adoção combinada de regras ou standards. Partindo disso, o texto identifica os elementos que integram a intenção contratual: os meios estruturais e os fins contratuais. Em seguida, demonstra que as partes efetuam escolhas sobre os meios estruturais mais adequados para atingir os fins contratuais, e que o julgador deve respeitá- las, atuando em espaços delimitados de discricionariedade. O Capítulo 3 analisa o modo como o processo de ruptura contratual ocorre, do seu planejamento até sua eclosão. Os Capítulos 4 e 5 estudam os mecanismos destinados a guiá-lo, com os olhos postos em como os redatores adaptam instrumentos típicos para tanto. Distinguem esses mecanismos pela sua função defensiva (a recusa ao cumprimento das obrigações, a retenção e a compensação convencionais), extintiva (o desligamento contratual) ou substitutiva (a contratação substitutiva e o mandato irrevogável). Em seguida, o Capítulo 6 descreve alternativas que a práxis desenvolve para lidar com riscos derivados da estrutura potestativa e do exercício unilateral daqueles mecanismos: as cláusulas escalonadas, as opções, a participação de terceiros e os step-in rights. Por fim, o Capítulo 7 antecipa pautas derivadas da incorporação dessa teoria, notadamente as irritações jurídicas relativas aos limites que doutrina e jurisprudência impõem aos mecanismos de ruptura e as possibilidades oferecidas pelas convenções processuais.

This thesis examines the problem of how endgame provisions are applied in fixed-term commercial contracts, and proposes a new semantics for those mechanisms, in light of actual practice, based on the premises of the theory of contract design. It is thus a work of legal theory intended to produce dogmatic solutions. It analyzes the phenomenon of contractual rupture, consisting of a progressive breakdown in the parties' relationship, driven by frustration with the contract's performance or by the desire to abandon it in favor of other investments, which tends to result in early termination. Chapter 1 frames the study's object and Chapter 2 describes rupture as a planned process that begins at the time the contract is produced, when the parties consider future eventualities and choose alternatives with a view to enabling efficient exits and avoiding opportunistic behavior in cases of breach, divergence of interests, or change of plans. The study establishes that this planning does not always bear fruit, largely because the Brazilian legal culture is unaware of its features and because of incompatibilities between the reasoning that motivates the contract's drafters and particular characteristics of Brazilian law. The thesis adopts the theory of contract design to propose a new semantics for the dogmatic framework of these contracts, describing it as a set of choices made to shape contracts in a functional manner, by adopting structures that are intended to serve the parties' needs and objectives, which presupposes that the parties will anticipate litigation and will map out alternatives strategically, with a view to efficient transaction costs and to avoid opportunism. The study shows that two approaches can be observed this in endeavor, with combined choices of legal or relational enforcement mechanisms to deal with possible contingencies, and shifting between front- and back-end transaction costs to choose proxies with the adoption of rules or standards. From there, the text identifies the elements that compose the concept of contractual intent: contractual means and contractual ends. It also shows that parties make choices as to the most appropriate contractual means to achieve their contractual ends, and decision-makers should respect those choices when resolving disputes, and act within defined areas of discretion. Chapter 3 examines the way in which the process of contractual rupture occurs, from planning for rupture to effective rupture. Chapters 4 and 5 study the endgame provisions intended to guide this process, focusing on how contract drafters adapt legal instruments to their purposes. These mechanisms can be differentiated according to their defensive (refusal of performance, retention as security for performance, and set-off), extinctive (contractual termination) or substitutive (performance by a third party and irrevocable mandates) function. Next, Chapter 6 analyzes the practical ways developed to deal with the risks associated with the mechanisms' one-sided structure (direitos potestativos) and their unilateral exercise: multi-tiered clauses, options, thirdparty participation and step-in rights. Last, Chapter 7 sets an agenda of the likely repercussions of incorporating contract design theory into Brazilian law, notably the eruption of legal irritants derived from the limits imposed by scholars and the courts on endgame provisions rub up against the possibilities offered to parties by agreed contractual processes.
