Esta dissertação de mestrado tem por objeto a análise das regras de governança corporativa inseridas nos contratos empresariais. Iniciou-se a pesquisa pelo entendimento do que seriam as regras de governança corporativa e como teria ocorrido o desenvolvimento destes tipos específicos de normas no âmbito da atividade empresarial, bem como em quais pilares estariam elas alicerçadas. Após, buscou-se identificar a natureza jurídica e o tipo de obrigação originada pelas regras de governança corporativa, aprofundando-se a analise a partir do que se convencionou chamar de cláusulas anticorrupção, espécie mais comumente utilizada na prática empresarial. Ato contínuo, passou-se a analisar os efeitos decorrentes do inadimplemento de normas desta natureza e a possiblidade jurídica de resolução do contrato empresarial, em razão da violação de normas desta natureza. O trabalho foi todo desenvolvido tendo por base apenas os efeitos decorrentes de atos de corrupção irradiados nas relações puramente empresariais (isto é, entre empresas, não envolvendo pessoas físicas, tampouco órgãos públicos). Ao final, concluímos com o entendimento sobre a sistematização e institutos jurídicos aplicáveis a este tipo específico de regramento inserido nos contratos empresariais.

This master's thesis' object is the analysis of the corporate governance rules inserted in commercial contracts. The research began with the understanding on what the rules of corporate governance are and how the development of these specific types of rules within the business activity occurred, as well as which principles they are based upon. Afterwards, the research aimed at identifying the legal nature and the type of obligation originated by corporate governance rules, using as an example the anti-corruption clause, which is more commonly used in business practice. The next step was to analyze the effects arising from the breach of rules of this nature and the legal possibility of termination of the commercial contract, due to the violation of this kind of rules. The work was entirely developed based solely on the effects resulted from acts of corruption occurring in relationships of a purely private nature (i.e. between companies, not involving public agencies). In the end, the thesis concludes with the understanding on the systematization and legal institutes applicable to this specific type of rule inserted in the commercial contracts.
