O tema do tag along foi alvo de diversas mudanças legislativas no ordenamento legal brasileiro. Sua redação atual prevista no artigo 254-A da Lei das S.A. estabelece a obrigatoriedade de realização de oferta pública de ações nos casos de alienação de controle de companhias abertas. Entretanto, a aplicação prática do referido dispositivo é controversa, sobretudo pela falta de critérios específicos para definição do conceito de controle a ser utilizado. O artigo 254-A da Lei das S.A. é silente sobre tais critérios, sendo que apenas em 2002, com a Instrução CVM 361/02, foi feita indicação mais precisa de que o conceito de acionista controlador do artigo 116 da Lei S.A. deveria ser aplicado para fins do artigo 254-A. Tal aplicação, contudo, tem sido alvo de diversos questionamentos levados à Comissão de Valores Mobiliários - CVM, em especial em vista das diferentes estruturas de controle acionário presentes no mercado de capitais brasileiro. Diante de tal cenário de insegurança jurídica, a presente dissertação tem por objeto o estudo da funcionalidade jurídica do artigo 254-A, em vista de se determinar a fattispecie controle a ser utilizada na aplicação do referido dispositivo. Acredita-se que o poder controle, entendido como fato social, é regulado pela Lei das S.A., de forma específica, segundo suas mais diversas formas de manifestação, de acordo com função a ser desenvolvida por determinado dispositivo legal. Para realização do referido estudo de funcionalidade, serão utilizadas diversas ferramentas de pesquisa. Em primeiro lugar, buscar-se-á realizar reconstrução histórica da evolução legislativa sobre o tema, acompanhada de manifestações doutrinárias a respeito. Além disso, será feita análise da regulação do tag along em outros países, na tentativa de verificar as justificativas e redação das regras sobre ofertas obrigatórios análogas nos demais países, além de estudo de casos julgados pela CVM e de hipóteses limítrofes teóricas de aplicação do artigo 254-A. Por fim, buscar-se-á levantar questionamentos necessários, além de sugestões de lege ferenda sobre a matéria.

The tag along regulation has been the target of various legislative changes in the Brazilian legal framework. The current wording of Article 254-A of the Brazilian Corporate Law sets forth the obligation to launch a mandatory tender offer in case of the sale of control of public companies. However, the practical application of the referred article is controversial, especially due to the lack of specific criteria used to determine de concept of control. The Brazilian Corporate Law is silent regarding the referred specific criteria and only in 2002, according with the CVM Resolution 361/02, has the regulation indicated that the concept of controlling shareholders of the Article 116 shall be the one used in the application of Article 254-A. The referred application, however, has been challenged several times before the Brazilian Securities and Exchange Commission - CVM, especially in view of the different forms of corporate control present in the Brazilian capital markets. In view of such context of legal uncertainty, the object of the present dissertation is to study the legal function of Article 254-A, aiming to identify the fattispecie control that shall be adopted in the application of such rule. It is our understanding that the power of control, interpreted as a social fact, is to be regulated by the Brazilian Corporate Law in a specific manner, in view of its most variable forms of manifestation, according to the legal function to be pursued by a specific legal rule. The present study will be developed using various research mechanisms. First, there a historical reconstruction of the legislative evolution regarding the subject will be carried out, together with the study of doctrine manifestations related. Furthermore, the tag along regulation in other countries will be analyzed, in order to verify the justifications and wording of the analogous rules regarding tender offers in such countries. Additionally, the study of cases judged by CVM and theoretical hypothesis of application of article 254-A will be developed. Finally, the present study will appoint necessary inquiries and will make lege ferenda suggestions about the subject.
