Este trabalho trata dos regimes de invalidade aplicáveis às deliberações tomadas em assembleias de acionistas de companhias brasileiras, à luz da doutrina, do Superior Tribunal de Justiça, e dos Tribunais de Justiça dos Estados de São Paulo, Rio de Janeiro e Minas Gerais. A controvérsia cinge no aparente conflito entre o regime de invalidade civil (nulidade e anulabilidade) e societário (apenas anulabilidade). Há apresentação de notícia histórica referente à evolução legislativa do tema, no Brasil, e colocações breves sobre aspectos processuais das demandas impugnatórias de deliberações. O núcleo-duro, no entanto, jaz na sistematização doutrinária, separando os mais significativos pensadores do tema em três correntes (regime civil, regime societário, e regime especial), e, logo após, a análise de quarenta e duas decisões proferidas pelos Tribunais pátrios sobre o tema, estudo este, aparentemente, inédito na academia nacional. As conclusões apontam tendências dos Tribunais em adotar os ensinamentos da doutrina e outros aspectos de relevância prática sobre o tema

This paper refers to the invalidation regimens applicable over resolutions taken in shareholder meetings in Brazilian corporations, pursuant to doctrine, the Superior Court of Justice, and the State Appeals Courts of São Paulo, Rio de Janeiro and Minas Gerais. The controversy hinges on the apparent conflict between the regimen of civil invalidity (nullification and annulment) and corporate invalidity (only annulment). There is a historical presentation of the legislative evolution of the matter in Brazil, and brief comments over the procedural aspects of lawsuits involving the invalidation of shareholder resolutions. The heart of the matter, however, is the organization of doctrine, separating the most valuable thinkers of the matter in three groups (civil regimen, corporate regimen, and special regimen), and, thereafter, the analysis of forty two precedents from Brazilian courts over the matter, which study, apparently, is the first in Brazilian academy. The conclusions present the tendencies of the Courts in adopting the teachings of doctrine and other aspects of practical relevance over the matter
