A governança corporativa é objeto de debate nos mais diferentes países do globo. Focada na organização e gestão das sociedades, a governança corporativa busca melhorar a relação entre a sociedade e todos os agentes que, de alguma maneira, com ela se relacionam - os chamados stakeholders. Este trabalho analisa os elementos de governança corporativa à luz das sociedades familiares, em virtude da importância de referidas entidades para a economia brasileira e mundial. O presente estudo apresenta diversos dados relevantes relativos à governança corporativa e às sociedades, com especial atenção às sociedades familiares, incluindo informações atinentes à relação entre performance empresarial e adoção de boas práticas de governança corporativa, estrutura de propriedade acionária e presença de famílias no controle das sociedades. Este trabalho também analisa as teorias sobre a empresa à luz do interesse social, traçando um paralelo entre as principais problemáticas verificadas nos diferentes sistemas jurídicos. Ademais, a presente dissertação aborda as principais características da sociedade familiar, juntamente com os seus desafios e vantagens competitivas. Este estudo analisa ainda os principais elementos da governança familiar e sua importância para os membros da família.

Corporate governance is the center of debates across the different countries of the globe. Focusing on the organization and management of the companies, the corporate governance aims at enhancing the relationship among the company and all interested parties that somehow interact with it - such interested parties are known as stakeholders. This study analyses the elements of corporate governance vis-à-vis family firms, given the importance of such entities for the Brazilian and global economy. This work presents several important data in connection with corporate governance and the companies, especially family firms, including the link between business performance and the adoption of corporate governance best practices, corporate ownership structure and the presence of families in companies' control. The present paper also analyses the theories of the firm vis-à-vis corporate social interest, comparing the main prevalent issues in the different legal systems. Additionally, this paper lays down the main aspects of the family firm, including its challenges and competitive advantages. This study also analyses the main elements of family governance and its importance for family members.
