O exercício de influência dominante sobre a gestão de sociedades é um tema que envolve tanto estruturas de direito societário quanto de outros ramos do direito, tal como o direito civil, o contratual e o concorrencial. No âmbito do direito societário, essa discussão tem desenvolvimento próprio no sancionamento do abuso do poder de controle e, especialmente no regime francês, na administração de fato indireta ou por interposta pessoa. Fora do âmbito societário, a influência dominante sobre a gestão social pode ocorrer sobretudo por vínculos de dependência econômica. Com a expansão dos mercados, agentes econômicos passam a ter uma interação crescente, em relações marcadas por forte influência de uns sobre a gestão daqueles que lhes são dependentes. É a respeito desse fenômeno de exercício de influência sobre o processo de tomada de decisões das sociedades que se pretende analisar nesta tese, tendo como foco principal a busca de um critério de responsabilidade amplo por eventuais prejuízos causados por essa influência dominante, tanto no ordenamento jurídico francês quanto no brasileiro. A metodologia a ser utilizada é a perspectiva comparada, buscando-se diferentes abordagens do tema no ordenamento jurídico brasileiro e francês e análise de produções acadêmicas e documentos.

The exercise of dominant influence over the management of corporations is a topic that involves corporate law structures and other branches of law, such as civil, contract and competition law. In the corporate law, this discussion has its own development in the sanction of the abuse of the control power and, especially in the French law, in the responsibility of the shadow director. Outside the corporate law, the dominant influence over corporate management can occur mainly through ties of economic dependence. With the expansion of markets, economic agents are increasingly interacting in relationships marked by strong influence of one party over the management of another that is dependent on the latter. It is regarding this phenomenon of the exercise of influence over the decision-making process of corporations that this thesis intends to analyze, having as its main focus the search for a criterion of responsibility for eventual damages caused by this dominant influence, both in the French and Brazilian legal systems. The methodology to be used is the comparative perspective, seeking different approaches to the theme in the Brazilian and French legal systems, analysis of academic writings and documents.
