O presente trabalho tem como objetivo determinar a qualificação jurídica e o regime jurídico aplicável ao contrato de "engineering, procurement and construction" (EPC) no direito brasileiro. O contrato de EPC apresenta como características distintivas a atribuição ao epecista da execução, em troca de um preço fixo global, de um empreendimento em todas as suas etapas de implantação, desde a concepção nos projetos básicos até a colocação em funcionamento, prevendo-se para tanto uma estrutura de alocação de riscos fortemente concentrada no epecista ("single point responsibility") e que garanta o interesse do dono da obra em obter um elevado grau de certeza quanto ao preço, ao prazo de entrega e à qualidade do empreendimento. Considerando a sua função econômica, o conteúdo das prestações do epecista e da contraprestação do dono da obra, bem como a prática negocial consolidada nas "Conditions of contract for EPC/turnkey projects" ("Silver Book") elaboradas pela "Fédération Internationale des Ingénieurs-Conseils" (FIDIC), concluiu-se que o contrato de EPC se qualifica como contrato legalmente atípico, mas socialmente típico. Quanto ao regime jurídico aplicável, há, primeiramente, a incidência das normas cogentes do direito brasileiro, incluindo o artigo 618 do Código Civil de 2002. Em seguida, há as normas convencionais pactuadas entre as partes, as quais são obtidas por meio do processo de interpretação. Caso se identifiquem eventuais lacunas no conteúdo contratual, a norma aplicável será obtida a partir das fontes extranegociais, por meio do processo de integração. Dado que o contrato de EPC corresponde a um tipo social, é fundamental verificar se há alguma norma das práticas negociais consolidadas que colmate a lacuna. Para esse propósito, podem auxiliar a doutrina e o "Silver Book". A aplicação analógica das normas dos tipos contratuais previstos no Código Civil, sobretudo do tipo contratual da empreitada, deve ser subsidiária e condicionada a dois pressupostos: (i) efetiva possibilidade de aplicação analógica, demonstrando-se a identidade entre os pontos juridicamente relevantes; e (ii) havendo concurso de normas, a sua escolha ser o resultado da aplicação dos critérios de resolução de antinomias.

This dissertation aims to determine the legal qualification and the rules applicable to the "engineering, procurement and construction" (EPC) contract under the Brazilian law. The EPC contract distinguishes itself by the contractor being paid on a lump-sum basis to carry out the works comprised in all phases required to a project's complete implementation, from the definition of the design to the start-up of the plant. The EPC contract also provides for a strong allocation of risks on the contractor (single point responsibility) in order to grant the owner's interest on a high degree of certainty of the final price, the completion date and the quality of the project. Considerering its economic function, the content of the parties' obligations and the trade usages incorporated into the "Conditions of contract for EPC/turnkey projects" ("Silver Book") developed by the "Fédération Internationale des Ingénieurs-Conseils" (FIDIC), it is possible to conclude that, although Brazilian statutes do not provide a specific set of rules for the EPC contract, the trade usages do. Regarding the legal rules that govern the EPC contract, firstly there are the mandatory rules of Brazilian law, which encompass article 618 of the Brazilian Civil Code. Following them, there are the contractual provisions expressly or implicitly agreed by the parties, which are ascertained by interpretation. In case the parties have not agreed upon a certain matter, the applicable rule should be derived from sources of law other than party autonomy, by integration. Given that the EPC contract corresponds to a trade usage, it is essential to verify whether there is a business practice to fill the contractual gap. For that purpose, legal scholarship and the Silver Book can be helpful. Analogy with contracts governed by a specific regulation provided by Brazilian statutes, mainly the contract named "empreitada", should be subsidiary and conditioned to the fulfillment of two requirements: (i) analogy being actually possible, fact that depends on the demonstration of identity between the juridically relevant issues; and (ii) in case there is a conflict of rules, the application of the solving criteria resulting on the choice of the statutory rule provided for the analogous contract.
