A presente tese volta-se à análise dos arranjos híbridos de contratação, negócios voltados, essencialmente, à organização da atividade empresarial, mas cujos elementos constitutivos não se amoldam, inteiramente, nem aos paradigmas do contrato de intercâmbio, tampouco àqueles de natureza associativa. A constante pressão por inovação tecnológica a que estão submetidos os agentes econômicos elevou, acentuadamente, a frequência de tais arranjos nas últimas décadas. Sem, efetivamente, agruparem-se, sob uma mesma rígida unidade hierárquica, os entes empresariais passaram a se valer de estruturas cooperativas flexíveis, com traços de associação, mas sob a forma de contratos comutativos. Espraiou-se, assim, uma míriade de novos arranjos contratuais, com arrimo na cooperação entre entes empresariais, que assumem os mais variados formatos, abarcando desde contratos bilaterais de cooperação até complexas redes contratuais de inúmeros participantes. Esses novos modelos organizativos introduzem à estrutura contratual deveres e direitos diversos dos que inspiraram as regras existentes em grande parte dos ordenamentos nacionais. A despeito da já larga utilização dos modelos cooperativos na práxis negocial, os analistas jurídicos ainda não absorveram, por completo, as nuances de tais arranjos e suas implicações para o regramento hoje existente. Prova disso reside tanto no, relativamente, reduzido material produzido pela doutrina sobre a matéria, quanto na ausência de uniformidade de tratamento das cortes estatais a respeito de questões atinentes ao assunto. Assim, o objetivo deste trabalho é investigar as principais características desses arranjos cooperativos e buscar, tanto quanto possível, descobrir as implicações que tais traços trazem ao conteúdo normativo já existente em torno dos contratos empresariais. Na primeira parte da tese, salienta-se a existência de um eixo sobre o qual estariam dispostos os arranjos de contratação híbrida, cujos polos seriam, de um lado, os contratos de intercâmbio (mercado) e, de outro, os de associação (hierarquia). Na segunda parte, analisa-se a estrutura jurídica dos arranjos híbridos e suas distinções quanto aos contratos de intercâmbio e de associação. No terceiro capítulo deste trabalho, objetivou-se a traçar as características elementares desses arranjos. Na quarta seção, averiguam-se os potenciais impactos dos caracteres diferenciados dos negócios cooperativos ao quadro normativo existente, no Direito Brasileiro, em matéria de Direito Contratual. Por fim, na quinta e última parte, encerra-se a investigação e apresentamse as principais conclusões alcançadas.

This thesis focuses on the analysis of hybrid contractual arrangements, business essentially focused on the organization of entrepreneurial activity, but which the constitutive elements are not entirely suitable to the paradigms of the exchange contract, nor those of an associative nature. The ongoing pressure for technological innovation to which economic agents are subject has markedly increased the frequency of such arrangements in last decades. Considering there is no effective grouping under the same rigid hierarchical unit, business entities began to rely on flexible cooperative structures with traces of association, but as commutative contracts. This led to a myriad of new contractual arrangements, with support for cooperation among business entities, which take several formats, covering bilateral cooperation contracts to complex contractual networks of a number of participants. These new organizational models introduce to the contract structure different duties and rights from those that inspired the existing rules in much of the national statutes. Despite the broad application of cooperative models in business praxis, legal analysts have not yet fully absorbed the nuances of such arrangements and their implications for current ruling. This is evidenced both in the relatively small material produced by the doctrine on the subject and in the lack of uniformity in the treatment of state courts with regard to matters concerning the subject. Thus, this paper aims to investigate the main characteristics of these cooperative arrangements and seek, as much as possible, to discover the implications that such traits bring to the existing normative content concerning business contracts. In the first part of the thesis, we highlight the existence of an axis on which hybrid contracting arrangements would be arranged, which poles would be, on the one hand, exchange contracts (market) and, on the other hand, those of association contracts (hierarchy). In the second part, the legal structure of hybrid arrangements and their distinctions regarding exchange and association contracts are analyzed. In the third chapter of this paper, the aim is to trace the elementary characteristics of these arrangements. In the fourth section, we investigate the potential impacts of the different character of cooperative business to the existing legal framework in Brazilian Law, concerning Contract Law. Finally, in the fifth and last part, the investigation is closed and the main conclusions reached are presented.
