Esta dissertação tem por objetivo examinar os pressupostos do adimplemento do contrato preliminar, modalidade contratual abarcada expressamente pelo Código Civil. Os principais aspectos de estudo são verificar quais os elementos para que se caracterize um contrato preliminar, os pressupostos para seu adimplemento e as consequências de seu inadimplemento. A análise é permeada pelo estudo da incidência do princípio da boa-fé objetiva na formação, interpretação e cumprimento do contrato preliminar. Analisam-se, nesse sentido, os principais caracteres do contrato preliminar, como definição, natureza jurídica, causa, conteúdo mínimo e graus de programação. Traça-se, ainda, uma distinção entre o contrato preliminar e outras figuras afins, que com este se assemelham, mas não se confundem. A dissertação explora, outrossim, a incidência da boa-fé objetiva nas relações contratuais em geral para, em seguida, identificar pressupostos que justifiquem uma incidência mais intensa desta no âmbito do contrato preliminar, especialmente no que se refere ao dever de cooperação concretizado no dever de negociar. Examinam-se, ademais, a possibilidade e os pressupostos da execução específica do contrato preliminar, bem como os contornos e limites de sua interpretação e integração. Por fim, traçam-se notas acerca da resolução por inadimplemento e suas consequências.

This dissertation aims at analyzing the prerequisites for the fulfillment of preliminary agreements, a type of agreement expressly covered by the Civil Code. The main aspects of analyze are verifying which are the elements for characterizing a preliminary agreement, the prerequisites for its fulfillment and the consequences of breach thereof. Moreover, the analysis is permeated by the study of the incidence of the principle of good faith in the formation, interpretation and performance of the preliminary agreement. The main characteristics of the preliminary agreement, such as definition, legal nature, cause, minimum content and degrees of pre-establishment of future conditions are thus analyzed. Additionally, a distinction is made between the preliminary agreement and similar agreements that may seem alike but are not proper preliminary agreements. The dissertation also explores the effects of the good faith in the general contractual relations in order to identify the prerequisites that justify a more intense incidence in the context of preliminary agreements, especially with regard to the duty of cooperation, concretized in the duty to negotiate. The possibility and prerequisites for specific performance of the preliminary agreement, as well as the characteristics and limits of interpretation and complementation are also examined. Lastly, notes are made with regard to the termination for breach and its effects.
