A dissertação tem por objetivo analisar a formação dos contratos cuja conclusão não é instantânea, isto é, daqueles contratos precedidos por uma fase de negociação. Os principais aspectos de estudo são a identificação da efetiva formação de um contrato e a determinação do momento em que o vínculo contratual é criado. O trabalho examina, portanto, se e quando um contrato pode ser reputado concluído, em especial um contrato de formação progressiva. A dissertação discorre, ainda, sobre outros aspectos da fase pré- contratual, analisando as características de alguns dos documentos elaborados nesse período. Analisa-se, ademais, a cláusula geral de boa-fé objetiva em suas diferentes funções, principalmente a forma com que modula a conduta das partes em negociação e a maneira como auxilia na interpretação e identificação da declaração negocial. A dissertação destaca valores como a confiança e a segurança do tráfego comercial e suas implicações no período pré-contratual e na interpretação das condutas das partes em negociação. Discorrese, ainda, sobre os elementos de existência do negócio jurídico (e, portanto, do contrato) e de que forma tais elementos devem ser identificados, notadamente em um contrato de formação progressiva. Por fim, a dissertação propõe e examina alguns critérios e balizas para nortear o operador do direito na identificação da conclusão de um contrato, com destaque à interpretação e identificação da declaração negocial.

The dissertation aims to analyze the formation of contracts with non-instantaneous conclusion, that is, those contracts preceded by a negotiation phase. The main aspects of study are the identification of the effective formation of a binding agreement and the determination of the moment in which the contractual bond is created. The work then examines whether and when a contract can be deemed completed, in particular a contract with progressive formation. The dissertation also discusses other aspects of the precontractual phase, analyzing the characteristics of some of the documents elaborated in such period. The general clause of objective good faith in its different functions is analyzed, specially the way it modulates the conduct of the negotiating parties and the way it assists in the interpretation and identification of the manifestation of intent (declaração negocial or declaração de vontade). Of particular note are values such as the reliability and safety of commercial traffic and their applications to the pre-contractual period and to the interpretation of the negotiating parties' conducts. It also discusses the elements of existence of the negócio jurídico (and therefore the contract) and how such elements should be identified, notably in a contract with progressive formation. Finally, the dissertation proposes and examines some standards and criteria to guide the parties and the law experts in the identification of the conclusion of a contract, with emphasis on the interpretation and identification of the manifestation of intent (declaração negocial or declaração de vontade).
