Contratos normativos criam normas para regular contratos futuros que venham a ser firmados entre as partes (contrato normativo interno), ou entre elas e terceiros (contrato normativo externo). A adoção de contratos com este perfil é um reflexo do pluralismo dos modos de contratar e da necessidade de certos setores econômicos ajustarem suas próprias normas de autorregulação. À luz da legislação brasileira, a interpretação conjunta dos artigos 425, 113, § 2º e 421-A, inciso I, todos do Código Civil, cria um regime jurídico geral de admissão da validade e da eficácia dos contratos normativos. Os seus efeitos jurídicos devem ser agrupados em torno de duas funções. Contratos normativos podem exercer função preparatória. Neste caso, o efeito jurídico que os distingue é o dever atribuído aos contratantes de cumprir, em contratos futuros, o conteúdo previamente ajustado entre si. O inadimplemento poderá ensejar a execução específica da obrigação, inclusive pelo terceiro em favor de quem tenha sido estipulada alguma obrigação. Contratos normativos podem exercer também função regulatória. Neste caso, as partes ficam obrigadas a regular o seu comportamento em atenção às normas do contrato normativo. Os efeitos decorrentes da função regulatória obrigam as partes e permitem a terceiros tomar estes instrumentos como parâmetro de interpretação e integração dos contratos futuros. O reconhecimento destes efeitos permite aprimorar a jurisprudência dos tribunais em conflitos envolvendo códigos de autorregulação, convenções coletivas de consumo, contrato de franquia, contratos bancários e contrato de locação em shopping center.

Normative contracts create norms to regulate future contracts that may be signed between parties (internal normative contract), or between them and third parties (external normative contract). The adoption of contracts with this profile is a reflection of the diversity of contracting methods as well as of the need for certain economic sectors to adjust their own self-regulation rules. According to Brazilian legislation, the combined interpretation of articles 425, 113, § 2, and 421-A, item I, all of the Civil Code, creates a common legal regime for acceptance of the validity and effectiveness of normative contracts. Its legal effects must be grouped around two functions. Firstly, normative contracts can have a preparatory function. In this case, the legal effect that distinguishes them is the obligation assigned to the contracting parties to comply, in future contracts, with the substance previously agreed upon between them. A default may give rise to the specific execution of the obligation, including by the third party, in favor of whom an obligation has been stipulated. Furthermore, normative contracts can also play a regulatory role. In this case, the parties agree to regulate their conduct in accordance with the rules of the normative contract. According to Brazilian legislation, the combined interpretation of articles 425, 113, § 2, and 421-A, item I, all of the Civil Code, creates a common legal regime for acceptance of the validity and effectiveness of normative contracts. The effects stemming from the regulatory function impose an obligation to the contracting parties and allow third parties to use these devices as a criterion for the interpretation and integration of future contracts. Recognition of these effects makes it possible to improve court precedents in conflicts involving self-regulation codes, collective consumption agreements, franchise agreements, bank agreements, and shopping center lease agreements.
