A presente tese trata do dever de informar em contratos derivativos. Preliminarmente, analisa a função econômica como suporte à determinação da causa concreta, bem como a natureza jurídica dos contratos. Em seguida, no terceiro capítulo, trata dos fundamentos do dever de informar, principiando pelos vícios do consentimento e com especial dedicação à análise da boa-fé. O capítulo quarto aproxima a tese dos contratos derivativos, com avaliação da legislação aplicável no Brasil, Estados Unidos da América e Itália. O capítulo quinto trata dos efeitos da violação do dever de informar, especificando em que hipóteses a ensejará a anulação, a resolução ou a indenização dos danos causados. O capítulo seguinte analisa casos julgados pelo Superior Tribunal de Justiça e um julgado italiano para verificar a adequação da jurisprudência às conclusões parciais. Por fim, a conclusão resume os parâmetros para a sanção da violação do dever de informar.

The present work discusses the duty of disclosure in derivative agreements. Initially, it analyses the economic purpose as the basis to delimitate the effective cause, as well as the nature of the derivative agreement. Following, the third chapter deals with the foundations of duty to inform, beginning by the vices of consent and with special dedication to good faith. The fourth chapter brings the thesis to the derivative agreement, valuating the current Law on Brazil, United States of America and Italy. The fifth chapter deals with the effects of duty to inform violation, identifying in which case it should cause annulation, resolution or indemnification of the damages caused. The following chapter analyses cases judged by Superior Tribunal de Justiça and one Italian case to check if jurisprudence matches the partial conclusions. At the end, the conclusion sums the parameters to determinate the consequence of duty to inform violation on derivative agreements.
