O contrato serve de veste jurídica das relações econômicas e sociais. À medida em que estas se transformam, também se modificam os arranjos contratuais. Em razão do poder atribuído aos particulares de autorregrarem seus interesses, o surgimento de novas estruturas contratuais não ocorre em um só momento, mas descentralizadamente, por intermédio da atuação criativa destes. Quando as necessidades da prática comercial passam a não mais ser particulares de um ou outro agente, e se generalizam ao ponto de, em resposta a elas, surgirem arranjos contratuais coerentes e similares, verifica-se o surgimento de novos modelos normativos de tipicidade social. Este é o caso do contrato-quadro, objeto de estudo do presente trabalho, cuja origem está identificada na resposta encontrada pelos sujeitos contratuais a um problema surgido do aumento de complexidade no âmbito negocial: o de garantir ao máximo, em uma relação contratual duradoura, a segurança das partes de que o vínculo por elas estabelecido é sério e seu conteúdo é previsível, sem com isso vulnerar a flexibilidade de adaptação do programa contratual estabelecido. A investigação acerca das questões jurídicas que permeiam os contratos-quadro ocorre, no presente trabalho, tanto pela preocupação dogmática de compreender quais os limites conceituais e funcionais da figura quanto para contribuir com a resolução de problemas que rodeiam o seu âmbito operativo. Essa análise, ocorrida por consulta a obras doutrinárias e julgados que se ocuparam dos contratosquadro no direito brasileiro e estrangeiro, é conduzida em quatro capítulos. No primeiro, aponta-se os limites do contrato-quadro, seus elementos essenciais e o seu conteúdo típico, sustentando a sua diferença e autonomia em relação às figuras limítrofes do contrato de trato sucessivo, contrato preliminar, condições gerais dos contratos e subcontratos. No segundo, identifica-se quais as funções típicas do contrato-quadro, e se deduz que elas se manifestam de modo mais acentuado, embora não exclusivo, em algumas relações contratuais - a distribuição, a franquia, os empreendimentos conjuntos e as relações bancárias. No terceiro, perquire-se se a circunstância de o contrato-quadro não definir todos os elementos da relação contratual representa óbice à sua validade, bem como se é possível a fixação unilateral dos elementos indefinidos por uma das partes, concluindo-se que a indeterminação inicial de elementos contratuais não invalida o contrato-quadro, ao passo que a fixação unilateral apenas é compatível com a ordem jurídica brasileira se vinculada a critérios prévios e objetivos. Finalmente, no quarto e último capítulo, são analisadas as obrigações de negociar de boa-fé e de celebrar os acordos que concretizam economicamente a relação contratual, compreendendo-se que ambas são compatíveis com o contrato-quadro; que, na ausência de manifestação expressa das partes, deve-se presumir que se obrigaram apenas a negociar de boa-fé; e que é diverso o tratamento de ambas na hipótese de seu incumprimento por um dos contratantes.

The contract serves as the legal instrument of economic and social relations. As those relations change, so do the contractual arrangements. Due to the right granted to individuals to self-regulate their interests, the emergence of new contractual structures does not occur at a single moment, but in a decentralized fashion, through their creative action. When the commercial needs are no longer particular to one or the other agent, and become widespread to the point that, in response to them, coherent and similar contractual arrangements arise, it is unambiguous that new normative models have emerged. This is the case of framework contracts, studied in this thesis, which were created from the answer found by contractual parties to a problem arising from the increase of complexity in their businesses: that of guaranteeing simultaneously, in a lasting contractual relationship, the maximum of security for the parties that the bond established by them is serious and its content is predictable, without thereby undermining their flexibility to adapt their contract. The research on the legal issues surrounding framework contracts occurs, in this thesis, both for theoretical reasons, to understand what the conceptual and functional limits of framework contracts are, and for practical reasons, to contribute to the resolution of legal problems that surround the framework contracts in the business practice. This analysis, carried out through the study of academic works and court decisions that dealt with the framework contracts in Brazilian and foreign law, is held in four chapters. In the first one, the limits of the framework contract, its essentialia negotii and its typical content are pointed out. This thesis then holds that the framework contracts are different and autonomous in relation to lasting contracts in general, preliminary contracts, standard form contracts and subcontracting. In the second chapter, the typical functions of the framework contract are identified, and this thesis then holds that they are most pronounced in some contractual relations, namely distribution contracts, franchise contracts, joint ventures contracts and banking contracts. In the third chapter, it is analyzed whether the fact that the framework contract does not determines all the elements of the contractual relationship voids it, and whether the unilateral determination of the undefined elements by one of the parties is possible. This thesis holds that the indetermination of the contractual elements of the overall contractual relationship does not void the framework contract, whereas the unilateral determination by one of the parties is only compatible with the Brazilian legal system if it is bound by prior and objective criteria. Finally, in the fourth and final chapter, the obligations to negotiate in good faith and to conclude agreements that economically materialize the contractual relationship are studied. This thesis holds that both are compatible with the framework contract; that in the absence of any express statement of the parties regarding this subject, it must be assumed that they are only obliged to negotiate in good faith; and that the consequences of both in the event of non-compliance by one of the parties are different.
