Esta dissertação tem como tema a aplicação do princípio da boa-fé objetiva na revisão de contratos coletivos empresariais de assistência à saúde. Após breve exposição do processo histórico de reconhecimento do direito à saúde pela Constituição Federal de 1988 e desenvolvimento do setor de saúde suplementar no Brasil, inicia-se a investigação da natureza jurídica dessa nova figura contratual e elementos de outros contratos típicos que a compõem e sua classificação como contrato existencial em razão da essencialidade do direito envolvido nesses contratos. Após breve explanação a respeito da complexidade do vínculo obrigacional e do efeito do tempo, são expostas as teorias relativas aos contratos relacionais e cativos de longa duração. Concluída essa análise preliminar, adentra-se na análise da boafé e dos deveres anexos de conduta dela decorrentes de coerência, informação e cooperação assumidos pelas partes que participam dessa relação contratual envolvendo tão relevante direito fundamental. Por fim, faz-se uma análise da boa-fé como vetor da revisão dos contratos coletivos empresariais de assistência à saúde, o dever de renegociação envolvendo as partes contratantes voltado ao reequilíbrio e adequação do programa econômico contratual, tratando também da teoria da exceção da ruína aplicada pela jurisprudência pátria. Por fim, é feita uma reflexão a respeito do uso exagerado do princípio da boa-fé para a alteração das condições contratuais originalmente pactuadas, em detrimento da legislação e regulamentação vigentes aplicáveis a esses contratos.

This work addresses the applicability of the principle of objective good-faith to the review of corporate collective healthcare contracts. After a brief overview of the history of the 1988 Constitution's acknowledgment of the right to health and the country's healthcare industry developments, this work focuses on the legal aspects of this new contractual mechanism and of elements found in other typical contracts that are akin to it, then analysing their classification as existential contracts on account of the essential aspect of the right involved in those contracts. After a brief explanation of the complexities involved in the obligational relations and the effects of time, this work elaborates on the theories related to long-term captive and relational contracts. After these preliminary considerations, this work analyses the good-faith and its ancillary obligations of conduct in terms of coherence, disclosure and cooperation undertaken by the parties to this contractual relation, considering that such a relevant fundamental right is into play. Finally, this work analyses good-faith as a driver for review of corporate collective healthcare plans, the parties' duty to renegotiate with a view to rebalancing and adapting the contractual economic conditions; further, this work will address the theory of exception to avoid the effects of the debtor's ruin, as applied in Brazilian court precedents. Some final considerations are then made about the overuse of the principle of good-faith in efforts to change the original contractual conditions, at the expense of current laws and regulations applying to those contracts.
