Abstract in Portuguese
Esse trabalho tem por objetivo investigar o modo como a diversidade de características individuais dos membros do Conselho de Administração e da Diretoria das empresas abertas brasileiras se relaciona com o seu retorno acionário, tomando como embasamento o conjunto das discussões relacionadas aos impactos das dinâmicas de grupo sobre a governança corporativa. Sustenta-se que uma maior diversidade nesses órgãos se relaciona positivamente com os retornos acionários, tanto pela quebra do groupthink e dos efeitos das redes sociais, quanto pelo estímulo à ocorrência do conflito cognitivo, contribuindo para uma melhor tomada de decisões, uma melhora do monitoramento e uma maior capacidade de geração de oportunidades de investimento. Para a análise, são realizados dois estudos empíricos, contemplando seis indicadores de diversidade alternativos, construídos a partir de duas bases de dados com características complementares: (i) uma base de dados em painel, contendo dados superficiais para todas as empresas abertas brasileiras no período de 2011 a 2018; e (ii) uma base de dados em cross-section, contendo dados mais profundos das 64 empresas incluídas no índice IBOVESPA em 31/12/2017. Realizadas as análises estatísticas, pode-se dizer que os estudos, de fato, trazem indícios da existência de uma relação positiva entre a diversidade dos membros que compõe o Conselho de Administração das empresas e a geração de melhores retornos acionários, estabelecendo-se essa relação tanto de maneira direta, quanto intermediada por meio de uma melhora do monitoramento por esse órgão e da sua capacidade de geração de oportunidades de investimento. Essa conclusão fica mais evidente quando se analisam os resultados dos modelos empíricos construídos a partir dos indicadores de diversidade capazes de capturar aspectos mais profundos desse fenômeno e quando se constata que ambientes de tomada de decisão colegiados são mais propícios a canalizar os efeitos positivos da diversidade. Ao se analisar os modelos para a Diretoria, contudo, os resultados dessa relação são menos evidentes em todos os cenários. Argumenta-se que esse comportamento está atrelado às características funcionais e estruturais desse órgão, menos propício a canalizar os efeitos positivos relacionados à diversidade.

This research has the objective of investigating the way how diversity of individual characteristics of board members and C-level executives of Brazilian public companies relate to their share returns, taking into consideration the discussions involving the impacts of group dynamics on corporate governance. It is argued that a higher diversity level in these bodies should be positively related to share returns due to both (i) the mitigation of the negative effects related to groupthink and the formation of social networks and (ii) to the stimulation of cognitive conflicts, contributing to better decision making, monitoring improvement monitoring and an incentive to the generation of investment opportunities. Two studies are made for this analysis, contemplating six alternative diversity indicators, calculated with the information of two complementary data bases: (i) a panel data base, containing surface-level data for all Brazilian public companies for the period between 2011 and 2018; and (ii) a cross-section data base, containing deeper-level information for the 64 companies included in the IBOVESPA index on December 31, 2017. Pursuant to the empirical analysis, it is possible to argue that the studies bring indications that a positive relation between diversity of board members and higher share returns indeed exists and that this relation is established both directly and intermediated through a better monitoring and an incentive to the generation of investment opportunities. This conclusion is clearer in the empirical models based on the diversity indicators which contemplate deeper aspects of this phenomenon and take into account the understanding that environments of collegiate decision making are more prone to channel the positive effects of diversity over share returns. When the models for the C-level executives are analyzed, however, the results are less evident in all scenarios. It is argued that this deviant behavior is a consequence of the functional and structural characteristics of this body, which are less prone to channel the positive effects related to diversity over share returns.
