Neste estudo busca-se conhecer como funcionam os conselhos de administração brasileiros. O objetivo do autor nesta dissertação é documentar a investigação de alguns aspectos do funcionamento da governança corporativa no contexto brasileiro e sua comparação com preceitos profissionais de melhores práticas propostos pelo IBGC - Instituto Brasileiro de Governança Corporativa, entidade brasileira que congrega conselheiros de administração. A pesquisa, de cunho exploratório, foi realizada em amostra intencional, através de questionário estruturado e entrevista pessoal junto aos presidentes de conselhos de administração de trinta e sete das mais representativas corporações de capital aberto atuantes no Brasil. A soma do faturamento anual dessas corporações em 1998 alcançou valor superior a 40 bilhões de dólares. Os preceitos profissionais de melhores práticas foram comparados a ações de governança corporativa utilizadas no Brasil e suas semelhanças ou diferenças transformadas em conclusões e recomendações, visando o aumento da importância dos conselhos de administração, o melhoramento da credibilidade do mercado acionário e o consequente amadurecimento do capitalismo brasileiro.

The intent in this study is to know how the Brazilian corporate boards of directors work. The purpose of the author in this essay is to document the research on some specific aspects of the corporate governance in the Brazilian context, which are compared to the best practices professional rules proposed by IBGC - Instituto Brasileiro de Governança Corporativa, the entity that congregates directors in Brazil. This research, classified as an exploratory study, was carried out through intentional sample survey, using structured questionnaire applied, in private interviews, to board of directors presidents from thirty-seven of the most significant share market corporations operating in Brazil. The amount of annual revenues, of those corporations, achieved more than forty billion dollars, in 1998. The best practices of corporate governance were compared to the Brazilian corporate governance practices and the relevant similarities or differences found were turned into conclusive recommendations, which are aimed at increasing the boards of directors importance, improving the stock market credibility and reaching the consequential ripeness of the Brazilian capitalism
