Nesta dissertação apresentou-se as cláusulas estatutárias por atingimento de participação relevante popularmente conhecidas como poison pills brasileiras por uma perspectiva institucional, predominantemente com base nos trabalhos de Douglass North. As mencionadas cláusulas foram analisadas por uma abordagem institucional e percebeu-se sua concatenação com outros mecanismos jurídicos de controle da companhia aberta, as ações preferenciais e os acordos de acionistas. Em relação ao seu papel na transferência de controle, as cláusulas seguem uma trajetória de favorecimento ao acionista controlador similar à trajetória da evolução legislativa da tag along, disposta no artigo 254 - A da Lei 6.404/1976. O trabalho caracteriza-se por um estudo empírico em direito, com emprego de técnica quantitativa. Foi descrita a adoção das cláusulas, ano a ano, por cada uma das 176 companhias que já foram listadas no segmento Novo Mercado da Bolsa de Valores Brasileira no período de 2000 até 2020. Pelos dados analisados, observou-se a mudança ao longo dos anos da redução da utilização das cláusulas a partir de 2015 e a mudanças nos elementos do mecanismo das poison pills brasileiras, especialmente, o valor percentual mínimo de aquisição do capital social para ativação da cláusula (popularmente conhecido como "gatilho").

On this thesis it is present theBrazilian poison pills from an institutional perspective, predominantly based on the work of Douglass North. This clauses were analyzed using an institutional approach and their connection with other legal mechanisms for controlling the publicly-held company, such as no voting shares and shareholders' agreements. About to its role in the control transfer, the clause follows a trajectory of favoring the controlling shareholder similar to the trajectory of the legal evolution of tag along, set out on article 254 - A of Brazilian corporate Law 6.404 / 1976. This thesis may be classified as an empirical, using a quantitative technique. It was described the use of the brazilian poison pill, year by year, by each of the 176 companies that have already been listed on the "Novo Mercado of the Brazilian Stock Exchange from 2000 to 2020. From the data provided, the change over the years indicates the reduction in the use of poison pills from 2015 to 2020 and the changes in the elements of the mechanism of the Brazilian poison pills, especially, the minimum value of acquisition of the social capital to activate the clause (popularly known as "trigger").
