O contrato de integração agroindustrial é utilizado como instrumento jurídico para coordenação do fornecimento de matéria-prima pelo produtor integrado à indústria processadora. A relação entre produtor integrado e integrador é caracterizada por assimetrias. O objetivo dessa investigação consiste na identificação destas assimetrias contratuais e a apresentação de sugestões para viabilizar o desenvolvimento, assim entendido como a criação de riqueza assentada em práticas comerciais equilibradas e transparentes. Em termos metodológicos, a investigação tem caráter prevalente jurídico-sociológico, pela utilização de pesquisa bibliográfica e pesquisa documental. Entre os documentos foram consultados projetos de lei, legislação e jurisprudência. Concluiu-se que as assimetrias contratuais derivam da concentração do mercado, assimetria informacional, dependência econômica e falta de poder de barganha do produtor integrado. Para equacionar a assimetria contratual, o desenvolvimento da integração agroindustrial depende de soluções (i) estruturais, com o estímulo de arranjos associativos, como associações e cooperativas para contraposição do poder de mercado do integrador, (ii) organizacionais, pelo fortalecimento dos CADECs e FONIAGRO como organizações aptas a pressionar a mudança institucional e difundir conhecimento entre os produtores integrados, e (iii) institucionais, por alterações legislativas na Lei 13.288/2016, orientação jurisprudencial em torno do enforcement contratual e articulação sistêmica do ordenamento jurídico para encontrar novas respostas às assimetrias contratuais.

The contract farming is used as a legal instrument for coordinating the supply of feedstock by the agricultural producer into the agro-industry. The relationship between farmer and agroindustry is characterized by asymmetries. The purpose of this investigation is to identify these contractual asymmetries and make suggestions to make development feasible, thus understood as the creation of wealth based on balanced and transparent commercial practices. In methodological terms, the investigation has a prevailing juridical-sociological character, by the use of bibliographic research and documentary research. Among the documents, bills of law, legislation and jurisprudence were consulted. It is possible to conclude that the contractual asymmetries derive from market concentration, information asymmetry, economic dependence and lack of bargaining power from the producers. To solve the contractual asymmetry, the development of contract faming depends on (i) structural solutions, with the encouragement of associative arrangements, such as associations and cooperatives to counter the processing firms' market power, (ii) organizational, by strengthening the CADECs and FONIAGRO as organizations capable of pressuring the change of the institutional environment and spreading knowledge among agro-industry, and (iii) institutional, due to legislative changes in Law 13.288/2016, jurisprudential guidance around contractual enforcement and systemic articulation of the legal system to find new answers to contractual asymmetries.
