A pesquisa objetiva realizar a análise comparativa entre a comercialização de gás natural canalizado e o mercado de contratação livre de energia elétrica, a partir da normativa da Arsesp e de modelo de contrato do setor elétrico. Para tanto, a pesquisa traz o panorama geral de cada um destes mercados, a fim de se explicitar as mais relevantes caraterísticas relacionadas às respectivas cadeias, os principais marcos regulatórios, as competências legislativas, as agências reguladoras responsáveis e as propostas de aprimoramento regulatório em discussão. Neste contexto, é realizado um estudo aprofundado das condições referentes à comercialização em ambiente livre nos dois mercados, pormenorizando as características dos agentes de cada um dos setores, as principais obrigações regulatórias existentes. São trazidas informações relevantes sobre as diversas transações efetuadas nos dois setores, no âmbito do Estado de São Paulo. Passa-se ao ponto central da pesquisa, em que é realizado o estudo do caso, objeto deste trabalho. A partir do estabelecimento do desenho típico da contratação de gás natural e de energia elétrica em ambiente livre, passa-se à análise sobre as possíveis similaridades e diferenças no que tange aos instrumentos contratuais, considerando as partes contratantes, os objetos dos contratos, o prazo de vigência das relações jurídicas, as possíveis excludentes de responsabilidade contratual, como o caso fortuito ou força maior, as penalidades contratuais impostas em caso de inadimplemento contratual, as hipóteses de resilição e rescisão dos contratos de compra e venda, o cabimento de multa rescisória e de ressarcimento à parte inocente por meio de indenização suplementar, além das garantias contratuais e do esclarecimento quanto aos mecanismos de solução de controvérsias contratuais possíveis de serem adotados. Na conclusão, são retomadas as principais informações trazidas ao longo da pesquisa e há o destaque às principais condições contratuais específicas de cada um dos setores, que mereçam destaque. Por fim, há a avaliação sobre a relevância positiva da realização desta pesquisa comparativa, considerando a diferença dos possíveis aprendizados ao setor de gás natural a partir do setor de energia elétrica.

This research aims to carry out a comparative analysis between the commercialization of piped natural gas and the market for free contracting of electric energy, based on the Arsesp regulations and the model contract model for the electric sector. To this end, the survey provides an overview of each of these markets, in order to explain the most relevant characteristics related to the respective chains, the main regulatory frameworks, the legislative powers, the responsible regulatory agencies and the proposals for regulatory improvement under discussion. In this context, an in-depth study of the conditions relating to commercialization in a free environment in both markets is carried out, detailing the characteristics of the agents in each of the sectors, the main existing regulatory obligations. Relevant information about the various transactions carried out in the two sectors is provided, within the scope of the State of São Paulo. We move on to the central point of the research, where the case study, the object of this study, is carried out. Based on the establishment of the typical design for contracting natural gas and electric energy in a free environment, an analysis is made of the possible similarities and differences with regard to the contractual instruments, considering the contracting parties, the objects of the contracts, the term validity of legal relationships, the possible exclusions of contractual liability, such as unforeseeable circumstances or force majeure, contractual penalties imposed in the event of contractual default, the hypotheses of termination and termination of the purchase and sale contracts, the scope for a termination fine and reimbursement to the innocent party by means of supplementary indemnity, in addition to contractual guarantees and clarification as to possible contractual dispute settlement mechanisms to be adopted. At the conclusion, the main information brought over the survey is resumed and the main contractual conditions specific to each sector are highlighted, which deserve to be highlighted. Finally, there is an assessment of the positive relevance of conducting this comparative research, considering the difference between the possible lessons learned in the natural gas sector from the electric energy sector.
