Esta pesquisa tem como objetivo avaliar o impacto da adesão às práticas recomendadas de governança corporativa sobre a qualidade da informação contábil, mensurada por meio de um índice original adaptado à realidade brasileira. Como aproximação para a qualidade da informação contábil, construiu-se o Índice de Qualidade da Informação Contábil (IQIC) para 200 companhias abertas analisadas no período de 2006 a 2009. O IQIC foi validado internamente pelo alfa de Cronbach e, externamente, por oito pesquisadores que participaram da aplicação da técnica Delphi. Para o estudo empírico, elaborou-se um modelo linear de regressão, cujos parâmetros foram estimados pelo método GMM Sistêmico, o qual permite controlar adequadamente o problema da simultaneidade entre as variáveis de governança corporativa e de qualidade da informação contábil. O modelo considerou a qualidade da informação contábil como função do nível de governança corporativa e de um conjunto de variáveis de controle, tais como: tamanho, endividamento, oportunidade de crescimento, rentabilidade, tangibilidade dos ativos e direito de controle dos três maiores acionistas. Também foram incluídas variáveis dummies setoriais e uma dummy de tempo a fim de capturar os efeitos das mudanças contábeis promovidas pela Lei 11.638/07. Os resultados confirmaram a hipótese da pesquisa de que quanto maior o nível de governança corporativa da firma, maior o IQIC. Nesse sentido, constatou-se que existe uma relação de complementaridade - e não de substituição - entre a estrutura de governança corporativa e a qualidade da informação contábil das firmas no Brasil. Dentre as dimensões de governança, aquela relacionada à composição e ao funcionamento do conselho de administração mostrou-se a mais importante. Constatou-se ainda que o IQIC é influenciado positivamente por seus valores passados e pela concentração acionária em posse dos três maiores acionistas. As demais variáveis não apresentaram significância estatística e/ou um comportamento consistente. Conclui-se, portanto, que a estrutura de governança corporativa da firma constitui uma das principais variáveis explicativas do IQIC. Essa constatação pode ser considerada relevante, já que, ao contrário do sugerido por outros estudos, evidencia-se que a qualidade da informação contábil é influenciada não apenas pela origem legal do País e pelo grau de desenvolvimento de seu mercado de capitais, mas também por características específicas da firma. O trabalho traz duas contribuições à literatura: a proposição de um índice original aplicado à realidade brasileira para se mensurar objetivamente a qualidade da informação contábil; e, a apresentação de resultados estimados pelo método GMM Sistêmico, mitigando os potenciais problemas de endogeneidade em trabalhos anteriores desta natureza. Por fim, sua principal implicação prática é a constatação de que, para aumentar a qualidade da informação contábil, deve-se investir no aprimoramento das práticas recomendadas de governança corporativa e no incentivo para que as empresas brasileiras busquem cada vez mais sua adoção e efetiva implementação. Dessa forma, é possível superar obstáculos para criar uma maior oferta de recursos para o financiamento das empresas.

This thesis aims to evaluate the impact of the adherence to recommended corporate governance practices on the quality of accounting information. As a proxy for the quality of accounting information, I develop a new index based on the Brazilian market, called Index of Accounting Information Quality (IQIC). IQIC is constructed for 200 publicly held companies in the period from 2006 to 2009. It is validated both by the Cronbach's alpha (an internal measure of reliability) as well as by the opinions of eight experts based on an application of the Delphi method (an external measure of reliability). For the empirical research, I estimate the parameters of the regression models by applying the system Generalized Method of Moments (System GMM), a procedure that allows to control properly for the simultaneity problem between the variables of corporate governance and quality of accounting information. Based on the previous literature on this field, I consider the quality of accounting information as a function of the level of corporate governance and of a set of control variables such as size, debt, growth opportunities, profitability, tangibility of assets and control rights held by the three largest shareholders. I also consider industry dummies and a time dummy variables as additional controls, with the later being included in order to capture the effects of Brazilian accounting changes due to the enactment of a new Corporate Law (11.638) in December 2007. The results confirm the research hypothesis that the higher the corporate governance firm-level, the higher its IQIC. Therefore, I find a relationship of complementarity rather than substitution between the corporate governance structure and the quality of accounting information of Brazilian firms. Among the different corporate governance dimensions, the composition and functioning of the board proved to be the most important one. As the coefficients of other variables were not consistent or statistically significant, we conclude, therefore, that the corporate governance structure is the main explanatory variable for the quality of accounting information in Brazil. This finding is relevant because, unlike suggested by other studies, the quality of accounting information can be influenced not only by both the country's legal origin and the degree of development of its capital market, but also by specific characteristics of the firm. This research presents two contributions: the proposition of an index to measure in an objective way the quality of accounting information; and the presentation of more robust results estimated by System GMM, thus mitigating the potential problems of endogeneity not properly addressed in previous studies on this field. Finally, this research provides a practical implication: if investors intend to receive accounting information with superior quality, then they should strive for better corporate governance structure on their firms. Thus, it is possible to overcome obstacles in order to increase the supply of financing resources for Brazilian listed companies.
